CPFL Energias Renováveis material fact

CPFL Energias Renováveis S.A. (CPRE3) ("CPFL Renováveis" or "Company"), in compliance with Article 12 of CVM Instruction 358/02, hereby informs its shareholders and the market in general that, on this date, the auction ("Auction") of the Public Tender Offer to the acquisition of the totality of common shares issued by the Company ("OPA"), launched by its indirect controlling shareholder State Grid Brazil Participações S.A. ("State Grid"), was successfully carried out in the trading system of B3 S.A. - Brazil, Bolsa, Balcão.

As a result of the Auction, State Grid acquired 243,771,824 common shares (CPRE3) issued by the Company, representing 48.39% of the capital stock. The common shares were acquired for the unit price of R$ 16.85, corresponding to a total amount of R$ 4.1 billion.

The financial settlement of the Auction will occur on November 29, 2018 and, then, State Grid and CPFL Geração de Energia S.A. (indirectly controlled by State Grid) will jointly hold 503,520,623 common shares issued by the Company, which approximately represent 99.94% of the Company's total capital.

CPFL Renováveis will keep its shareholders and the market in general duly informed of any and all developments related to the OPA.
