From our consideration: In accordance with the provisions of articles 9 and 10 of Law No. 18,045 on the Securities Market and General Standard No. 30 of the Financial Market Commission (“CMF”), duly empowered and on behalf of Enel Américas SA (“Enel Américas”), I come to inform you of the following, in relation to the sale of the interest in Enel Distribución Perú SAA and Enel X Perú SAC owned by the subsidiary of Enel Américas, Enel Perú SAC (the “Sales and Purchases”), informed to the CMF by means of an essential fact dated April 7, 2023:
To this date, the National Institute for the Defense of Competition and the Protection of Intellectual Property (INDECOPI) of the Republic of Peru and the Chinese authorities competent in matters of outbound direct investments (ODI) have completed the processing and/or approval of the Purchase and Sale. INDECOPI granted its approval subject to compliance with a remediation plan that includes the imposition of certain restrictions on private bidding processes for the supply of energy to regulated clients carried out in the future by Enel Distribución Perú SAA
Consequently, all the regulatory suspensive conditions to which the Purchase and Sale had been subject have been met, in accordance with the contract in English called “Share Purchase Agreement”, entered into between the parties Enel Perú SAC and China Southern Power Grid International (HK ) Co., Ltd.
Therefore, in accordance with what was agreed in the aforementioned purchase and sale contract, during the next few weeks the delivery of documentation between the parties will be carried out to make the adjustments to which the price of the Purchase and Sale is subject and, subsequently, the closing of the operation subject to the terms and conditions of the purchase and sale contract.
As previously communicated in a material fact dated April 7, 2023, Enel Américas will grant a Parent Company Guarantee, under Chilean law, to guarantee certain payment obligations contracted by the subsidiary Enel Perú as a result of the “Share Purchase Agreement”. This guarantee will contemplate maximum amounts and staggered validity times for each group of obligations, none of which will exceed the period of 5 years counted from the closing of the operation.
It is estimated that the execution of the Purchase and Sale will have a positive effect on the consolidated net results of Enel Américas, which correspond to what was already reported in the previous essential event dated April 7, 2023.
